Swanson, enumerating fifteen detailed points for a proposed contract. In part: "It is one thing to criticize and analyze a contract and quite another to construct it out of whole cloth. Following, therefore, are only points which I think the contract should cover. 1. The term is from year to year and, for convenience, for the calendar year…Subject to the continuing rights of Sydney A. Sanders, this is an exclusive literary agency contract…In a case of my rendering personal services as an employee, there should be a provision requiring the execution of a separate contract…Agent's compensation shall be ten percent of the gross on sales…You agree to protect my professional interests in all matters and at all times."
